2. What this site is and what it is not

The public part is an informational catalogue: it is browsed freely, it shows our products and it accepts no orders. It has no basket, no payment and no prices for end customers.

The trade area is available only to approved trade partners after sign-in. Agreed prices are shown, and orders are placed, only there.

The images and descriptions in the catalogue present our products in good faith. Differences in the shade of the fabric and of the wood are possible; they follow from the material and from the way it is photographed.

3. Who may hold a trade account

An account is opened only for a legal entity or a sole trader that resells our products or uses them in its own activity. Natural persons buying for themselves cannot register.

The request contains the company's details and a contact person. It is reviewed by a member of our staff — approval is neither automatic nor guaranteed. A refusal needs no reasons, but we will state the reason on request.

The partner is responsible for the accuracy of the details submitted and for the actions of the people it has given access to its account. Access is personal and is not transferred.

4. Order, confirmation and contract

An order placed through the platform is an invitation to conclude a contract, not a concluded contract. The contract is considered concluded when we confirm the order.

We reserve the right not to confirm an order where stock has run out, where there is an obvious error in price or quantity, and where there are outstanding amounts from previous deliveries.

A proforma invoice is not a tax document. It shows what you have ordered and at what value, and serves for payment. The tax invoice is issued separately, after the payment has been confirmed.

5. Prices and payment

Prices in the trade area are agreed for the specific partner and are confidential. They are not disclosed to third parties.

Unless stated otherwise, prices do not include value added tax. The tax due is charged at the rate in force on the date of the tax event.

Payment is by bank transfer. The terms for a specific partner — prepayment, deferred payment or payment in instalments — are agreed separately and are applied as recorded in that partner's account.

6. Delivery and passing of risk

The delivery period is stated when the order is confirmed and depends on stock and on the production workload.

The risk of accidental loss and damage passes to the partner when the goods are handed over to it or to a carrier appointed by it. Visible damage is recorded on acceptance — in the consignment note or in the acceptance document.

7. Non-conformities and complaints

Shortages and visible non-conformities are reported on acceptance. Hidden defects are reported without delay once they are discovered.

A complaint is submitted through the trade area or in writing, with a description of the non-conformity, the document number and photographs. We review it and reply within a reasonable period, offering repair, replacement, a price reduction or a credit note as appropriate.

Relations between two traders are governed by the Commerce Act and by the Obligations and Contracts Act. The rules on consumer guarantee and on the 14-day right of withdrawal under the Consumer Protection Act apply to natural persons buying for personal use — that is, not to orders placed through this platform. They apply to our partners' own end customers, in their relations with them.

8. How you use the site

• Do not extract content and prices from the platform automatically.
• Do not attempt to access another party's account or data that is not yours.
• Keep your passwords safe and tell us immediately if you suspect that someone has learned them.

In case of a breach we may restrict or terminate access to the account. In case of a serious breach we do so immediately, notifying the partner.

9. Liability

We take care that the site works and that the data in it is correct, but we do not guarantee uninterrupted operation. Interruptions are possible for maintenance, on failure, or on account of a supplier.

We are not liable for lost profits or for indirect damages, to the extent that the law permits this limitation. Our liability for a given delivery does not exceed its value.

10. Intellectual property

The trade marks, images, texts and layout of the site are our property or are used with the rightholder's consent. Our partners may use the product images and descriptions to resell our products; any other use requires written consent.

11. Personal data

What data we collect, why, and how long we keep it is described in the Privacy Policy. It forms part of these terms.

12. Changes to the terms

We may change these terms. The new version is published here with its date of entry into force. Orders already confirmed are governed by the terms in force at the time of confirmation.

13. Applicable law and disputes

Bulgarian law applies. Disputes are resolved through negotiation and, failing that, by the competent Bulgarian court.
